Terms & Conditions
These terms and conditions pertain to all website users and customers of any IRONIES products. IRONIES manufactures furniture, lighting, accessories. No employee or other representative of IRONIES has any authority to waive these policies.
All IRONIES is sold through our network of representative showrooms. No direct sales or web site sales may be made.
All orders must be received, accepted and acknowledged by IRONIES. Orders must be received in writing from our showroom representatives on a formal order form, with customer name, purchase order number, ship to address and full description, specifications and quantity of product selected. A minimum deposit of 50% of the total net sale price must accompany the order. All upholstery orders require an IRONIES COM/COL/COT Identification and Placement Form. These forms must be submitted upon order placement. If all pertinent order information is not received, IRONIES will provide an Incomplete Order Acknowledgment requesting all missing order information. Incomplete orders cannot begin production nor be assigned an estimated completion date until all missing information is received. Once all order information is received, IRONIES will provide a sales order acknowledgement with an estimated completion date.
Orders are shipped F.O.B. Richmond, California. Upon customer’s request, IRONIES will engage a shipper on the customer's behalf. This request must be specified on the original order. IRONIES will accept orders specifying "Will Call.” This request too must be specified on the original order. Shipment must provide shipper/carrier's name and the delivery address. Customer's shipping/delivery service must call 510-544-2100 and speak to an Account Manager 48 hours before pick-up from our warehouse located at 2200 Central Street Unit D Richmond CA 94801. IRONIES receipt from the common shipper/carrier accepting the shipment constitutes completed delivery on the part of IRONIES and title to the merchandise passes to the customer at that time. The shipper/carrier not Ironies, is responsible should any damage occur in transit. It is the responsibility of the consignee to examine the merchandise upon receipt and note any obvious damage on the shipper/carrier's delivery receipt. Damage that comes to light when the merchandise is unpacked should be reported to the carrier immediately. All packing material should be kept for claim purposes. Any claim by customer against IRONIES or shipper/carrier for shortage or damage occurring prior to such delivery must be made in writing within forty-eight (48) hours after receipt of shipment and accompanied by original transportation bill signed by the carrier noting that the carrier received the goods from IRONIES in the conditions claimed. All shipments are subject to the Return | Repair incorporated in these terms and conditions. Pursuance of the claim is the responsibility of the customer.
Estimated Lead Time
Stated lead times are estimates only. IRONIES is not liable for any orders which are delivered after the estimated date. IRONIES shall not be liable for delay in delivery or non-delivery due to causes beyond our reasonable control, including but not limited to, acts of God, acts of Buyer, acts of civil or military authority, war, riots, floods, earthquakes, pandemics, strikes, lockouts, delays in or lack of transportation, and failure of performance for similar reasons. In the event of any such delay, the date of delivery shall automatically be extended for a period equal to the time lost by reason of such delay. Failure of IRONIES to perform for the aforesaid reasons shall not be grounds for the customer's cancellation of its order or reimbursement/payment of any shipping, delivery or installation costs
Custom construction and sizes are available by request, but are subject to acceptance by IRONIES Design Department. As most of our furniture, lighting and other products are customizable, these requests will be reviewed on an individual basis by our Design Department. IRONIES also has the capabilities to review and help create products that are not based on our standard product offerings. Custom quotations and lead-times can be provided by the IRONIES Design Department. Drawings for Approval (DFA) may be requested on custom items after the order is received at IRONIES. If a DFA is requested prior the receipt of an order and deposit, a $300 net charge will apply. DFAs are included with a custom order at no charge if the change is not easily communicated in writing on a sales order and a visual representation of the product is required. The IRONIES product team reserves the right to decline a DFA request if it is deemed unnecessary to fabricate the product. DFAs are not available for standard IRONIES products. Custom quoted prices are valid for 60 days unless otherwise negotiated. All custom orders are not cancellable nor returnable.
Order Changes and Cancellations
All goods are custom made to order specifications. Cancellations of orders after placement is typically not accepted but in rare circumstances may be allowed strictly upon written authorization by the company. These orders will be subject to a handling, change, stocking or cancellation fees of up to 50% of the total net sales price. Orders with outstanding pending information for more than 90 days will be considered abandoned, and the order will be cancelled. IRONIES has the option to retain the initial deposit, as well as to sell the produced product and retain the proceeds as liquidated damages incurred by the customer's breach. IRONIES and the customer agree that the forfeiture of deposits and the liquidation of the produced product as described above is a reasonable method of compensation for damages which may be incurred by IRONIES as a consequence of the customer's breach of the terms and conditions of sale.
Designs | Dimensions
All designs are the property of IRONIES. IRONIES reserves the exclusive right to produce these designs. Design details are subject to change without notice. All of IRONIES’ photographs, illustrations, drawings, dimensions and weights contained in IRONIES’ price lists, website and sales material are close approximations only and intended to give a general description of the goods and shall not form part of this agreement. All Furniture and lighting are handmade, and therefore are subject to slight variations.
Our Price List reflects to-the-design-trade net pricing. Prices are subject to change without notice and all prices must be verified and then submitted to Ironies by a showroom representative. Prices do not include shipping, local delivery, installation, cartoning, crating, packing or unpacking, insurance, storage or sales tax (where applicable.)
A minimum deposit of fifty percent (50%) of the net sale price is required to initiate order placement. Customers will be invoiced for the balance due on each order approximately three (4) weeks prior to the anticipated completion of order. Full payment is due upon receipt of the invoice. Orders must be paid in full, including shipping, handling, cartoning, crating/packing, storage, sales tax (where applicable) prior to shipping. Orders for Here & Now require payment in full at the time of order placement. If IRONIES has not received all balances due within 90 days of a completed order or when it appears that the customer is unable to pay the balance due, IRONIES has the option to retain the initial deposit, as well as to sell the produced product and retain the proceeds as liquidated damages incurred by the customer's breach. IRONIES and the customer agree that the forfeiture of deposits and the liquidation of the produced product as described above is a reasonable method of compensation for damages which may be incurred by IRONIES as a consequence of the customer's breach of the terms and conditions of sale.
COM | COL | COT
All upholstery orders require a IRONIES COM/COL/COT Identification and Placement Form, this form must be complete and submitted upon order placement. All customer's materials should be shipped prepaid freight to IRONIES 2200 Central Street Unit D Richmond CA 94801. Materials must be identified with the following: Customer's name and address, purchase order number, IRONIES product name and style number, name of material supplier, supplier address and material name, pattern, color, number. Materials received with insufficient identification may result in production delays. Materials received are not inspected upon receipt, materials are inspected when the upholstery production process is able to begin. Shortages of any materials is the sole responsibility of the customer. Any material shortage will result in a production delay. Materials which are found to be defective will be held and the showroom will be notified that the materials cannot be used, and the customer or supplier must issue a call tag for return of the materials. IRONIES makes every effort to identify flaws, imperfections or other discrepancies with materials before cutting, but cannot be held liable if flaws or defects are discovered after cutting or application of materials.
Finish samples for selection are available for customers through IRONIES finish sample lending library. A showroom can request sample support by requesting IRONIES to furnish finish sample(s) for selection to customers. All samples for selection should be returned to IRONIES 2200 Central Street Unit D Richmond CA 94801.
All taxes of any nature levied by federal, state or local authority regarding the sale use, or transportation of any ordered goods are the sole responsibility of the customer.
Completed orders must be picked up within 15 days of the completion date. If the paid in full order has been approved by IRONIES to remain in the warehouse after the 15-day grace period, it will be subject to a storage fee at 2.5% of invoice total per month. The storage fee must be paid before the goods can be released for pick up or delivery.
Returns | Repairs
All sales are considered final. No returns for any reason will be accepted without prior written authorization from IRONIES. Goods returned without IRONIES authorization will be refused. Unauthorized returns or returns arriving in poorly packed or damaged condition will not be accepted and will be returned to the shipper/carrier freight collect. A "return of credit" can only be authorized by IRONIES at its sole discretion. Customer is responsible for any unauthorized check stop payments or credit card charge backs.
TO THE EXTENT PERMITTED BY LAW, THIS 1 YEAR WARRANTY AND REMEDIES SET FORTH ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, REMEDIES AND CONDITIONS, WHETHER ORAL OR WRITTEN, STATUTORY, EXPRESS OR IMPLIED. AS PERMITTED BY APPLICABLE LAW, THIS 1 YEAR WARRANTY SPECIFICALLY DISCLAIMS ANY AND ALL STATUTORY OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND WARRANTIES AGAINST HIDDEN OR LATENT DEFECTS. IF CANNOT LAWFULLY DISCLAIM STATUTORY OR IMPLIED WARRANTIES THEN TO THE EXTENT PERMITTED BY LAW, ALL SUCH WARRANTIES SHALL BE LIMITED IN DURATION TO THE DURATION OF THIS EXPRESS 1 YEAR WARRANTY AND TO REPAIR OR REPLACEMENT SERVICE AS DETERMINED AT OLY’S SOLE DISCRETION. OLY RESERVES THE RIGHT TO CHANGE 1 YEAR WARRANTY AT ANY TIME.
No other reseller, agent, or employee is authorized to make any modification, extension, or addition to this 1 year warranty. If any term is held to be illegal or unenforceable, the legality or enforceability of the remaining terms shall not be affected or impaired.
Note: All warranties apply to the original owner only, and begin at the date of purchase. Proof of purchase is required with all 1 year warranty claims.
IRONIES warrants that the product will be free from defects in material and workmanship for one (1) year from the date of delivery. The sole remedy under this Limited Warranty is repair or replacement of the defective product or refund of the purchase price of the defective product, at the sole discretion of IRONIES.
This Limited Warranty does not cover damage due to shipping or handling, improper installation or repair, repair by an unauthorized company, misuse, abuse, neglect or unreasonable use. This Limited Warranty does not apply to damage resulting from normal "wear and tear"; damage due to exposure to the sun, wind or rain, or from extreme or rapid changes in temperature or humidity; damage due to burns or pet damage; or damage due to contact with sharp or rough objects or any foreign substance. Use of improper cleaning materials, stain treatment, or other chemical treatments voids this Limited Warranty..
With respect to wood and metal, applied materials, this Limited Warranty does not apply to variations in wood color, stain color, paint color, pits, knots or wood grain, or to shrinking, swelling or splitting due to humidity or moisture or the lack of humidity or moisture.
Frame (Metal, Wood or Resin)
Structural frames for beds, tables, seating, etc. come with a limited structural 1 year warranty when properly maintained in ordinary home use. Furniture that has failed structurally during normal use and regular maintenance will, at company option, be repaired or replaced.
There is a 1 year limited warranty against blistering or peeling of the frame finish under normal use and proper maintenance. The furniture will, at company option, be refinished or replaced if either of the above occurs within limited time period from the date of purchase. Occasional rust from crevices and hidden unfinished surfaces inherent in some designs is considered a care and maintenance function and is not considered a finish failure.
Ironies resin table tops are suitable for daily use, but we strongly recommend the use of placemats and coasters to protect the surface. Misuse of this material will not be covered under warranty.
Agate, and Onyx are natural stone materials, with inherent vein pattern character. Since they are natural, no two are alike, and subtle differences are to be expected, so matching is not possible.
1 year limited warranty on all cushions. This extended 1 year warranty covers the quality of the craftsmanship, the construction of the cushion. C.O.M. fabrics are not covered under this 1 year warranty.
1 year limited warranty on all tops from date of purchase. This 1 year limited warranty covers the workmanship and structural integrity of the top. Tabletops found to be defective during this 1 year warranty period will, at company option, be repaired or replaced. Regular maintenance must be exercised as set forth in the care instructions.
Not Covered Under the 1 Year Warranty:
1. Any failure caused by unreasonable use or abuse
2. Rust seepage or bleeding from crevices or hidden, non-finished areas
3. Rusting and/or oxidation of frames resulting from exposed metals that have been scratched, chipped or not maintained as outlined in the care and maintenance instructions
5. C.O.M. fabrics (customer’s own material)
6. Normal fading of frame finish
7. Accidental damage (including fire, wind, dropping or others)
8. Permanent stains caused by lotions, oils or other substances.
9. Hard-water deposits or calcium build-up due to minerals found in regional water supplies
10. Furniture used in commercial or institutional use
11. Damages incurred from shipping, handling and storage
